End-User License Agreement and Terms of Use
These terms cover the Demeter QuickBooks Online integration (“the Integration”), software operated by Demeter AI Operations & Consulting LLC (“Demeter”) of Frisco, Texas.
1. Internal use only
The Integration is not offered to the public or sold as a product. Demeter uses it internally to deliver contracted bookkeeping and reporting work. It connects only to the QuickBooks companies of clients that have a signed agreement with Demeter and whose administrator has authorized the connection.
2. License
Each such client receives a limited, non-exclusive, non-transferable license to have Demeter run the Integration on its QuickBooks company for the length of the engagement. If the client’s signed agreement with Demeter conflicts with these terms, the signed agreement controls.
3. Your data
The client owns its QuickBooks data. Demeter accesses it only to do the contracted work, never sells it, and handles it as described in our Privacy Policy at https://demeter-ops-ai.com/privacy-policy/.
4. Disconnecting
A QuickBooks administrator can disconnect the Integration at any time in QuickBooks Online. Demeter then stops all access and deletes the client’s QuickBooks data as the Privacy Policy describes.
5. Intuit
Demeter is not affiliated with Intuit Inc. QuickBooks is a trademark of Intuit Inc. Intuit is not a party to these terms.
6. No warranty and limited liability
The Integration is provided “as is.” Clients should review its entries and reports before relying on them for tax or financial decisions. To the extent the law allows, Demeter is not liable for indirect or consequential damages, and its total liability is limited to the fees the client paid Demeter in the 12 months before the claim.
7. Governing law
The laws of the State of Texas govern these terms.
